Directors' Education & Accreditation Program (DEAP)

The DEAP welcomes experienced and newly appointed directors with management or professional experience. Participants are drawn from a mix of backgrounds including public, Crown and not-for-profit corporations.

DEAP is a sharply focused program, delivering critical content in 4 areas, Governance, Finance, Strategy and Risk Management in a condensed period of time.  It is designed for busy people who want to get what they need in a timely fashion.

When you register for DEAP, you will receive material to be read ahead time – one document for each of the modules.  The workshop will be three days in duration and will be a mix of presentations, discussions, case studies and a quiz (completed in class) for each module.

Upon successful completion, you will be awarded the Accredited Director designation (Acc.Dir.) and receive membership in our Affiliate Group.  As an Affiliate Group member, you will have a subscription to Corporate Governance Quarterly, our premier publication on good governance practice; access to special rates for seminars, workshops and other continuing professional development opportunities; and the same benefits package extended to our professional members.

Each day begins  at 8:00am with a light breakfast. We break for a provided lunch from 12-1pm and the sessions conclude at 5pm. Assessments are done in class.

John Dinner, FCIS, Consultant, Board Governance Services

For more than 16 years, John T. Dinner Board Governance Services has been helping clients across sectors and across Canada achieve their organizational objectives through excellence in board governance.  Board members and organizational leaders value John Dinner’s insights, practical approach and ability to facilitate needed governance change or transformation. 

In addition to helping boards improve their governance structures and processes, John is keenly adept at fostering trust and confidence in the sharing of power and authority between boards and those to whom they give oversight.

John uses his unique boardroom experience and expertise to help boards to deliver on their accountabilities to promote organizational strength, viability and effectiveness through critical governance processes:

  1. setting the organization’s strategic priorities;
  2. monitoring the implementation of these priorities;
  3. providing management oversight; and,
  4. reporting to stakeholders on their stewardship.

John’s hands-on, in-the-trenches board work helped develop and refine leading edge governance practices, including director recruitment, board education, meeting effectiveness and best practices, information management and decision-making, and board and director performance evaluations.   He knows and understands the needs of directors, trustees, councilors and other organizational leaders first-hand. 

John Dinner is:

  • a founding member of The Directors College faculty (McMaster University);
  • a regular conference presenter and workshop leader;
  • a recipient of the National Award in Governance;
  • a contributor to the Joint Committee on Corporate Governance; and,
  • a widely published author and media spokesperson on board topics.

John also brings relevant knowledge and expert presentation and facilitation skills to board consulting, training and development.

Paul Dubal LLB, FCIS P.Adm, Manager of Subsidiary Governance, Bank of Montreal

Paul is a legally qualified corporate secretary with over 15 years experience in corporate secretarial, governance and compliance services for a wide range of companies. As both an in-house corporate secretary and as a senior manager for KPMG and PricewaterhouseCoopers, Paul has worked with and provided consultancy services to over fifty diverse boards ranging from the not-for-profit sector to private companies and large publicly traded corporations. Originally practicing in the UK, Paul spent several years in the Caribbean advising global blue-chip corporations wishing to form a legal presence in the region. These included several large mining and energy companies. Prior to moving to Canada in 2008, Paul worked as a senior chartered secretary at Aviva plc with oversight for the Company's shareholder relations and share schemes. In his current role as Manager of Subsidiary Governance at the Bank of Montreal, Paul acts as corporate secretary and advises Boards on governance issues for a range of subsidiaries within the wealth management, merchant banking and capital markets pillars.

Paul holds a law degree from the University of Middlesex (UK) and a postgraduate diploma in legal practice from Leicester University (UK). He is a Fellow of the Institute of Corporate Secretaries and an ICSA certified Professional Administrator.

Richard Giel, CPA ,CA, Consultant

Richard (Rick) is a Chartered Accountant with over 30 years’ experience in financial accounting and reporting.  Subsequent to obtaining his designation at Deloitte LLP, Rick held senior financial and operational management positions with Reuters, Maclean Hunter, Rogers Communications and CNW Group.

For the past eight years, he has provided consulting services, primarily as Chief Financial Officer, to publicly traded and private resource companies. Previous clients include Nu Energy Uranium, NiCo Mining Limited, AimPowergen, Swala Resources, Red Crescent Resources, Polar Star Mining Corporation and Yamana Gold. 

He holds a Bachelor of Commerce degree from the University of Windsor and a Bachelor of Science degree from the University of Waterloo.
