As a service to members and others, Chartered Secretaries Canada has prepared a series of Good Governance Guides in the area of corporate governance. The intention is that they will provide value to individuals as a starting point or as an information source on governance issues.

In all instances you should be complying with applicable legislation and case law but there are often grey areas not covered by legislation and practices in these areas can vary from minimal to best practice. These Guides comprise what, in our view, constitutes good governance in a range of situations. They are a guide only, not a substitute for seeking professional legal advice.
