NOTICE IS HEREBY GIVEN that the Annual General Meeting of the members of The Institute of Chartered Secretaries and Administrators in Ontario will be held at the Albany Club, 91 King Street East, Toronto, Ontario, on Thursday, March 27, 2008 at 5:00 p.m. to conduct the following business:
i. To receive the report of the Chair of the Branch Council.
ii. To receive the financial statements for the year ended December 31, 2007 together with the auditor’s report thereon.
iii. To appoint the auditor for the ensuing year.
iv. To elect members to the Ontario Branch Council:
v. The following members are seeking election for a second three-year term:
- Henry Miller FCIS - Sr. Financial Analyst, Ontario Ministry of Health & Long Term Care
- Kenneth Nason FCIS - Association Secretary, IDA Canada. (Mr. Nason is in his second year of a three-year term as a member of the Committee for Canada.)
- Rafail Veli FCIS - Director, Information Technologies, BRM, Bombardier Aerospace, Customer Support and Spares, Regional Aircraft
The following members are in their second year of three-year terms:
- James Gould ACIS - VP Compliance, Equity Transfer & Trust Company
- Binita Jacob ACIS - Legal Administrator, Toronto Port Authority
The following members are in their third year of three-year terms:
- John Clausen ACIS - Principal, Clausen & Associates
- Howard Keck FCIS - Accountant & Chartered Secretary. (Mr. Keck is in his second year of a two-year term as a member of the Committee for Canada.)
vi. To nominate one (1) Branch member for election as Director of the The Institute of Chartered Secretaries and Administrators in Canada:
- John Clausen ACIS for a three year term of office
- Kenneth Nason FCIS is in his second year of a three-year term of office
- Howard Keck FCIS is in his second year of a two year term of office
vii. To transact such other business as may properly be brought before the meeting.
Members are entitled to vote in person or by proxy, the form, which is part of the AGM package, is available by clicking here. To be valid, the signed proxy form must be received in the office by 5:00 p.m. on Wednesday, March 26, 2008.

CIRI ON Presents Top Issues for 2008
Chartered Secretaries Canada - Ontario Branch, is proud to support CIRI Ontario’s first event of 2008 on January 22. Join CIRI Ontario for lunch at the Albany Club and a rare opportunity to hear Marvin Romanow, Nexen’s Chief Financial Officer and Canada’s CFO of the Year* for 2007, in conversation with the Globe and Mail’s Andrew Willis.
In Friday January 11th’s Globe and Mail, Mr. Willis reported that “Hedge fund managers are stepping up their campaign to break up or sell energy giant Nexen Inc., a showdown that promises to be the first of many between underperforming companies and activist shareholders who need to put their cash to work.”
Nexen promptly denied that it is considering breaking up or selling part of the company.
Come hear Mr. Romanow discuss how Nexen is addressing everything from hedge funds to hedging strategies in 2008 and get tips on how to manage as a public company within today’s turbulent capital markets. We encourage you to bring your CFO to share the insight and opportunity to network with peers.

The event was a rousing success with 70 people networking with old colleagues and making new contacts alike. Bruce Murray, National President, gave a humorous greeting, Janis Riven, immediate Past President, inspired Directors to become more educated by launching the Directors Education and Accreditation Programme (DEAP) and Ken Nason pulled the whole evening together with his inspired emceeing. Congratulations to everyone who was honoured including Past Presidents of the Canadian Division from Ontario, a newly minted ACIS member, the top Ontario Student of 2006, and of course the long list of loyal members with 25 and some more than 50 years of ICSA affiliation. Cheers and thank you Ontario Members for coming out!
